Netflix recently reported anime viewership tripled over the past five years, with more than half of its 300M global subscribers watching. Best of all, fan interest directly translates to monetizable verticals, with the market for anime merchandise alone worth $12B in 2025.

The Engine Bringing the Best IP Across Formats
Our expertise and network creates an IP Engine driving content across publishing, anime production, live events, and merchandising. In the TOKYOPOP IP Engine, each format feeds into the next. Great content builds a loyal community of fans. The loyal community creates monetization opportunities across verticals. Those then fund the creation of more great content. And so the cycle goes.

Manga is the most profitable section at Barnes & Noble. Anime and manga are now very mainstream and no longer a niche thing. We looked at the projections and the profile. The move into merch seems like a good idea since importing from Japan has become more expensive and people love to buy stuff for their favorite/anime or manga.

Frequently Asked Questions
What am I actually buying when I invest?
You're purchasing Class B equity shares through TOKYOPOP Investor Holdings, a special purpose vehicle (SPV) that holds an ownership interest in TOKYOPOP Inc. Your investment gives you an indirect ownership interest in TOKYOPOP and allows you to participate in the company's long-term growth. Please refer to the Offering Circular for complete details regarding your rights as an investor.
Is this a donation or a real investment?
This is a real equity investment—not a donation or crowdfunding reward. Your investment purchases Class B shares that represent ownership in TOKYOPOP. As with any private company investment, any future return depends on the company's performance and there is no guarantee of profit.
Can I sell my shares after I invest?
Under SEC Regulation Crowdfunding rules, your shares are generally subject to a 12-month holding period. After that, resale opportunities may still be limited because there is currently no public market for these securities. This investment should be viewed as a long-term investment.
Why is my investment going through TOKYOPOP Investor Holdings?
TOKYOPOP Investor Holdings is a special purpose vehicle (SPV) used to simplify ownership for a large number of investors participating in this Regulation Crowdfunding offering. Your economic interest is tied directly to TOKYOPOP Inc. This is a common structure used in Reg CF offerings.
What is the minimum investment?
The minimum investment is $500, which equals 100 shares at $5.00 per share.
Can I invest more after my initial purchase?
Yes. While the offering remains open, you may increase your investment through the DealMaker platform, subject to availability and applicable SEC investment limits.
How does TOKYOPOP make money?
TOKYOPOP generates revenue by discovering, developing, and growing intellectual property ("IP") across four integrated business pillars:
- Publishing – Publishing manga, graphic novels, and related content in print and digital formats across multiple languages and international markets.
- Merchandise – Developing and distributing licensed consumer products and collectibles that extend fan engagement beyond the page.
- Anime & Film/TV – Participating in the development, production, licensing, and commercialization of animated and live-action entertainment based on both licensed and original IP.
- Experiences – Creating live exhibitions, events, and other fan experiences that bring stories and characters into the real world.
These four pillars reinforce one another through what we call the TOKYOPOP IP Engine. A successful story can begin as a published manga, grow into an anime or film, expand into merchandise, and ultimately become a live experience or other commercial opportunity. This multi-platform approach enables TOKYOPOP to create multiple revenue opportunities from the same underlying intellectual property while building long-term value for both creators and the Company.
How does TOKYOPOP compete against Viz Media, Kodansha, and Yen Press?
TOKYOPOP competes through a different business model rather than by publishing the greatest number of titles.
Many of the industry's largest publishers are subsidiaries of major Japanese media companies, giving them exceptional access to their parent companies' intellectual property catalogs. TOKYOPOP's strength is different. As an independent global company, we have the flexibility to work with a wide range of creators, publishers, licensors, and entertainment partners across Japan and around the world.
This independence allows us to identify opportunities wherever they emerge—whether through licensed manga, original intellectual property, cross-cultural collaborations, anime production, merchandise, or live experiences. Rather than focusing on a single source of content, we seek to build long-term value by connecting great stories with audiences across multiple markets, languages, and entertainment platforms.
We believe this entrepreneurial, globally focused approach—combined with our four integrated business pillars of Publishing, Merchandise, Anime & Film/TV, and Experiences—positions TOKYOPOP to participate in the continued global growth of manga and anime in ways that complement, rather than directly mirror, the strategies of larger Japanese-owned publishers.
What happened to TOKYOPOP in the early 2000s manga boom, and why is this different?
TOKYOPOP played a pioneering role in introducing manga to mainstream North American audiences during the early 2000s, helping establish what became one of the fastest-growing categories in publishing.
Like many companies in the industry, TOKYOPOP was later affected by significant market changes, including the global financial crisis, the rapid shift from print to digital media, widespread online piracy, and changing retail dynamics. Those changes fundamentally reshaped the manga publishing industry.
At the same time, however, the audience for manga and anime continued to expand dramatically. What was once a niche category has evolved into a global entertainment phenomenon supported by streaming platforms, major retailers, worldwide licensing, merchandise, conventions, and live experiences. Today's market is significantly larger, more international, and more diversified than it was during the first manga boom.
TOKYOPOP has evolved alongside that market. Rather than relying primarily on U.S. print publishing, the Company has transformed into a global intellectual property business operating across four integrated pillars: Publishing, Merchandise, Anime & Film/TV, and Experiences.
We believe the combination of a much larger global audience, a more diversified business model, and nearly three decades of industry relationships positions TOKYOPOP differently than during the industry's first major growth cycle.
Why is TOKYOPOP raising capital now?
We believe TOKYOPOP is at an important inflection point in its evolution.
Over the past several years, we have transformed the Company from a traditional publishing business into a global intellectual property platform operating across four integrated business pillars: Publishing, Merchandise, Anime & Film/TV, and Experiences. At the same time, the worldwide popularity of manga and anime has continued to accelerate, creating opportunities that extend far beyond books alone.
The capital raised through this offering is intended to help us accelerate the next phase of our growth by expanding our publishing program, increasing participation in anime and entertainment projects, growing merchandise and direct-to-consumer initiatives, developing original intellectual property, expanding live experiences, and pursuing additional international opportunities.
We believe this financing will enable TOKYOPOP to build upon nearly three decades of industry relationships, experience, and credibility while positioning the Company to capitalize on the continued global growth of manga and anime.
Why is now the right time to invest in TOKYOPOP?
We believe several long-term trends are converging at the same time.
Manga and anime have evolved from niche categories into one of the world's fastest-growing forms of entertainment, with expanding audiences across streaming, publishing, merchandise, gaming, and live experiences. At the same time, TOKYOPOP has evolved into a diversified global IP company with multiple avenues for creating value from the same underlying intellectual property.
After nearly 30 years of building industry relationships, expanding internationally, and developing what we call the TOKYOPOP IP Engine, we believe the Company is well positioned to participate in the next phase of the industry's growth.
This offering provides investors with an opportunity to participate at a time when both the global market and TOKYOPOP's business model have matured significantly, while we continue executing our long-term growth strategy.
How will the proceeds from this offering be used?
The proceeds from this offering are intended to support TOKYOPOP's long-term growth strategy across all four of our business pillars.
Key priorities include expanding our publishing program, identifying and partnering on high-potential intellectual property, increasing participation in anime and entertainment projects, growing merchandise and direct-to-consumer initiatives, expanding live experiences, investing in technology and operational capabilities, and providing additional working capital to support continued growth.
As with any growing business, management will allocate capital based on strategic priorities and market opportunities. Additional information regarding the intended use of proceeds is available in the offering materials filed with the SEC.
Why did TOKYOPOP post a net loss in 2025 after being profitable in 2024?
2025 was an investment year for TOKYOPOP. The primary driver of the loss was our decision to launch NARUTO THE GALLERY in Berlin, our largest live experience to date. While the exhibition was critically successful and demonstrated our ability to bring major Japanese IP to international audiences, it generated a significant one-time financial loss due to startup and operating costs.
Since then, we’ve taken steps to refocus our strategy. Going forward, we’re emphasizing partnerships, licensing, and capital-efficient growth across our four business pillars—Publishing, Merchandise, Anime & Film/TV, and Experiences—while applying the lessons learned from that project.
We view 2025 as an investment in expanding TOKYOPOP’s long-term capabilities rather than a reflection of our core publishing business.
What is the $8M in short-term debt?
Much of the short-term debt reflects working capital financing, advances, and obligations that are common in the publishing and entertainment industries, where payments for licensing, production, printing, and distribution often occur before revenue is received.
It also includes obligations related to strategic investments and the growth of the business over time. As part of this financing round, strengthening our balance sheet and improving working capital flexibility are important objectives.
Complete details regarding the company’s liabilities are available in the offering materials filed with the SEC.
How realistic is the $50M revenue target by 2031?
The $50 million target is a long-term goal based on expanding the business we have already built over nearly 30 years.
Our growth strategy includes:
- Expanding our publishing program through additional licenses, original IP, and international markets.
- Growing higher-margin merchandise and direct-to-consumer sales.
- Increasing participation in anime, film, and television production through strategic co-production partnerships.
- Expanding live experiences and exhibitions with a more partnership-oriented, capital-efficient model.
- Developing and monetizing original TOKYOPOP-owned IP across multiple platforms.
We do not expect any single project to drive this growth. Rather, we believe it will come from scaling multiple revenue streams across our four business pillars while leveraging the global growth of the anime and manga market.
What is the TOKYOPOP Owners Club?
The Owners Club is the investor community for TOKYOPOP shareholders. Every investor receives membership, which includes members-only livestreams, sneak peeks at upcoming projects, exclusive variant covers, an exclusive membership card, and direct access to the TOKYOPOP team through regular virtual events.
How do I join?
Any investment of $500 or more automatically enrolls you. No separate sign-up required. Once your investment is confirmed you will receive details on how to access your membership.
What does membership actually include?
Members get early access to new titles, exclusive cover variants, behind-the-scenes content, and invitations to Owners Club events where you can ask questions directly to Stu and the team. The first Owners Club event gave investors an exclusive sneak peek at new cover art and a direct conversation with the founder. More virtual and in-person events are planned.
Is this a fan club or am I actually an owner?
Both. You receive equity in TOKYOPOP, meaning you are a shareholder in the company. The Owners Club is the community layer built around that ownership. It is designed to give investors a genuine connection to the brand, not just a certificate. That said, Class B shares do not include voting rights or participation in management decisions. Full details are in the offering circular.
What happens to my membership if I sell my shares?
Owners Club membership is tied to your equity position. Shares are subject to a 12-month holding period under SEC rules, during which they cannot be freely resold except under limited circumstances. After that period, there is currently no public market for these securities. Please review the offering circular for the full terms around share transferability and membership eligibility.
